Forge Construction Inc. ("Forge", "we", "us", or "our") operates the platform available at www.forgecondepot.com (the "Platform") and associated mobile applications on iOS and Android (the "App"). Together, the Platform, App, and related offerings are referred to herein as the "Services". These Services enable registered business customers ("Clients") to order construction materials ("Products") for delivery by our trained driver network ("Delivery Partners").
BY ACCESSING OR USING THE SERVICES IN ANY CAPACITY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE OF THE SERVICES IMMEDIATELY.
These Terms may be revised at any time without advance notice. Continued use of the Services following any update constitutes your acceptance of the revised Terms. You are encouraged to review this page regularly. Any new features added to the Services will be subject to these Terms unless otherwise stated.
1. Platform License and Permitted Use
Subject to your compliance with these Terms, Forge grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Services solely for their intended commercial purpose.
You agree that you will not, without Forge's prior written consent:
- Copy, modify, redistribute, sell, lease, or sublicense any component of the Services
- Reverse-engineer, decompile, or attempt to extract the source code of any part of the Services
- Access the Services through unauthorized automated means (e.g., bots, scrapers, or data harvesting tools)
- Frame or mirror any portion of the Services without authorization
- Interfere with or disrupt the integrity or performance of the Services or their underlying infrastructure
You may submit content to the Platform (e.g., order notes, images, or other materials). You retain ownership of any content you submit; however, by submitting it, you grant Forge a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content for the purpose of operating and improving the Services. Forge reserves the right to remove any submitted content at its discretion.
If you are accessing the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration and Security
To access the Services, you must create a Client account by providing: your legal name, business name, industry classification, a valid email address, and a phone number. You must be at least 18 years of age and possess a valid payment method.
You are solely responsible for all activity that occurs under your account. You agree to safeguard your login credentials and notify Forge immediately at the contact information below if you suspect unauthorized access or a security breach. Forge will not be liable for any losses arising from compromised account credentials.
Forge reserves the right to suspend, restrict, or terminate accounts at any time and for any reason, at its sole discretion.
3. Orders and Authorization
When you place an order through the Services, you authorize Forge to purchase and arrange delivery of the specified Products from suppliers of Forge's choosing. By placing an order, you acknowledge that:
- Forge acts as the merchant of record for the transaction
- Title to any goods purchased passes to you at the time of purchase
- Your payment method on file will be charged for the cost of goods plus any applicable Forge service fees
- Forge is not acting as your agent or employee in facilitating the order
3.1 Pricing
All product pricing listed in the App reflects the pricing set by our material suppliers and is updated on a regular basis. In any instance where the App price differs from the supplier's advertised price, the App price shall be the applicable sale price. Special promotional pricing from specific suppliers requires a Custom Order (see Section 5).
All prices displayed are exclusive of applicable taxes. HST and any other applicable taxes will be calculated and displayed at checkout and are the sole responsibility of the Client.
3.2 Minimum Order & Delivery Fees
A minimum order value of $350.00 (before tax) is required to qualify for free standard delivery. Orders below this threshold will be subject to a flat delivery fee of $60.00, which will be clearly displayed at checkout prior to order confirmation.
3.3 Supplier Selection
Forge selects material suppliers based on factors including, but not limited to, proximity to the delivery location, stock availability, and logistical efficiency. Specific supplier requests are only accommodated through the Custom Order process.
3.4 Out-of-Stock Items
While we endeavor to maintain accurate stock information, real-time inventory may vary. In the event an ordered item is unavailable, Forge reserves the right to:
- Substitute a comparable item (e.g., a longer board dimension if the ordered size is unavailable)
- Remove the unavailable item from the order
Forge will contact you to confirm any modifications prior to fulfillment. If you cannot be reached and no confirmation is received, the item will be removed from the order.
4. Delivery Terms
Deliveries are carried out by Forge's Delivery Partners within the timeframe selected at the time of order. Standard delivery hours are 9:00 AM to 9:00 PM (Forge+ members may access an earlier 6:00 AM window). Delivery windows and availability are subject to order placement timing and truck availability.
All deliveries are made curbside. Forge does not deliver inside any active job site unless a separate agreement has been made in advance. If a designated drop-off location is deemed unsafe for delivery, Forge will notify the Client and request an alternate site (additional fees may apply).
A delivery notification will be sent via the App when your order is en route. If no one is available to receive the delivery, the materials will be unloaded and left curbside. Forge bears no responsibility for items lost, stolen, or damaged while left unattended.
5. Custom Orders
The App allows Clients to place custom orders for items outside our standard catalogue or that exceed standard order limits. To initiate a custom order:
- Submit all relevant details through the Custom Order section of the App
- A Forge representative will contact you by phone to confirm the order
- A formal invoice will be sent to your registered email address
- Payment in full is required before the order is processed
Please refer to Section 10 (Additional Terms for Custom Quotes) for further details regarding custom order pricing, deposits, and modifications.
6. Order Modifications and Cancellations
Changes or cancellations to an active order must be submitted before the order is marked "On Delivery" in the App or on the Platform. At that point, the order has been prepared and dispatched, and no further changes can be accepted.
Even where materials have not yet shipped, Forge reserves the right, at its sole discretion, to apply a cancellation fee equivalent to the applicable Restocking Fee outlined in Section 8 (Return Schedules).
7. Return Policy
Forge accepts returns in accordance with the schedules and conditions described below. Returns are scheduled exclusively through Forge's customer support team and are collected on Thursdays and Fridays each week (excluding statutory holidays).
All damage or shortage claims for standard orders must be submitted within one (1) business day of delivery. For custom orders, inspection and claims must be completed within the same business day as delivery.
To submit a valid damage or shortage claim, Clients must:
- Document all visible damage or shortages with clear photographic evidence at the time of delivery, before moving or disturbing any materials
- Retain all original packaging where applicable
- Submit photos along with the claim through the App or by emailing support@forgecondepot.com within the applicable time window
- Obtain a driver sign-off or note any refusal to sign on the delivery receipt where damage is observed at time of drop-off
Claims submitted without photographic evidence will not be considered. Forge reserves the right to assess submitted evidence before approving any claim, refund, or replacement.
7.1 Conditions for Return
To qualify for a return, all items must:
- Be in the same as-new condition as originally delivered
- Be securely staged at an easy-to-access pickup location at the time of collection (under 5,000 lbs, max item length 22 ft)
If items are not staged and ready upon Forge's arrival, the Client will be assessed an administrative charge equal to the greater of: a 20% restocking fee or $100.00, in addition to any applicable pickup fees.
Upon return and inspection, Forge will issue a refund or account credit, less applicable restocking and return shipping fees. If returned goods are found not to be in as-new condition, no refund will be issued and the Client will be charged an additional 20% disposal fee.
7.2 Non-Returnable Items
The following product categories are designated as final sale and are not eligible for return:
- All Engineered Wood Products (EWP)
- Custom/Non-Catalogue Items — products procured specifically at Client request that are not part of Forge's standard catalogue
Clients are encouraged to confirm return eligibility with Forge's customer support team prior to placing any order.
8. Return Schedules
All returns are processed under either Return Schedule A or Return Schedule B, depending on the Client's Forge+ membership status.
Return Schedule A — Forge+ Members
Applies when the Client held an active, uninterrupted Forge+ membership both at the time of the original order and at the time of the return request.

Return requests must be submitted within 60 calendar days of the original delivery date. Non-standard pickup days may be accommodated upon request at an additional charge.
Return Schedule B — Non-Forge+ / Lapsed Forge+ Members
Applies when the Client does not hold an active Forge+ membership at the time of the original order, at the time of the return request, or if there was any lapse in Forge+ membership between those two dates.

Return requests must be submitted within 30 calendar days of the original delivery date. Non-standard pickup days may be accommodated upon request with an additional fee of $40.00.
9. Payments
All payments for Services and Products must be processed through the App using Forge's designated payment processor. You agree not to make or solicit any payments outside of the App's payment functionality.
By submitting payment, you confirm that all billing information provided is accurate and complete, and that you are authorized to use the payment method provided. A pre-authorization hold will be placed on your account when an order is submitted. Your payment method will be charged the full amount — including materials and applicable delivery fees — once the order has been fulfilled.
All credit card transactions are subject to a 3% processing surcharge.
9.1 Order Quotes
All order quotations are valid for two (2) weeks from the date of issuance, with the exception of lumber quotes which are valid for two (2) business days only. After the applicable validity period, prices are subject to change due to market conditions including currency fluctuations, fuel costs, or other economic factors.
10. Additional Terms for Custom Quotes
The following terms apply specifically to orders fulfilled under a custom quotation prepared by Forge:
- Custom quotes represent estimates only and do not constitute a guarantee of final pricing or material availability. Forge bears no liability for discrepancies between estimated and actual costs.
- All quotes are valid for two (2) weeks unless otherwise specified, except lumber quotes which are valid for two (2) business days only. Prices may change if the Client does not confirm the order and submit a 25% deposit within the applicable validity period.
- All lumber pricing is based on stud grade or #2-and-better material unless an alternative grade is explicitly noted on the quotation.
- If additional materials are requested after a quote has been issued, Forge may cancel the existing quote and issue a revised one without prior notice.
- Once a custom order is confirmed and a deposit received, Forge reserves the right to decline modification or cancellation requests.
- A rolling 25% deposit must be maintained at all times until the order is fully delivered. The deposit is applied against the final delivery.
- Any delay in delivery caused by the Client may result in warehousing fees (quoted at time of request) and potential price revisions at Forge's discretion.
- A Client representative must be on-site to receive delivery. If no representative is present, Forge may return materials to its warehouse and charge applicable pickup and restocking fees.
- Custom orders are delivered in a single shipment by default. Additional deliveries may be arranged for a fee, quoted at the time of request.
- All custom order payments are subject to a 3% credit card processing surcharge.
11. Acceptable Use
By using the Services, you agree not to:
- Upload or transmit any content that is unlawful, defamatory, threatening, abusive, obscene, fraudulent, or otherwise objectionable
- Impersonate any individual, business, or entity
- Transmit unsolicited marketing communications, spam, or chain correspondence
- Distribute malware, viruses, or any code designed to disrupt or damage systems
- Harvest or collect personal data about other users of the Services
- Attempt to probe, scan, or exploit any vulnerability in the Services or related infrastructure
- Resell, sublicense, or commercially exploit access to the Services without written consent from Forge
12. Force Majeure
Forge Construction Inc. shall not be held liable for any delay, disruption, or failure to perform its obligations under these Terms where such failure arises from circumstances beyond Forge's reasonable control. This includes, but is not limited to: severe weather events, natural disasters, pandemics or public health emergencies, government orders or regulatory changes, labour disputes or strikes, supply chain disruptions, fuel shortages, road closures, or any other event of force majeure.
In the event of a force majeure, Forge will notify affected Clients as soon as reasonably practicable and will make reasonable efforts to resume normal operations. Forge will not be responsible for any losses, damages, or additional costs incurred by the Client as a result of such events.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Forge Construction Inc.'s total liability to any Client for any claim arising out of or in connection with the Services — whether in contract, tort, negligence, or otherwise — shall not exceed the total value of the specific order that gave rise to the claim.
Forge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if Forge has been advised of the possibility of such damages.
Nothing in these Terms limits Forge's liability for fraud, gross negligence, or any liability that cannot be excluded by law.
14. Payment Failure and Late Payment
All payments are processed through the App at the time of order. In the event that a payment is declined or a pre-authorization cannot be obtained, Forge reserves the right to cancel or hold the order until valid payment is received.
For custom orders invoiced directly, payment is due in full by the date specified on the invoice. Unpaid invoices past their due date may be subject to:
- A late payment fee of 2% per month (24% per annum) applied to the outstanding balance
- Suspension of the Client's account and access to the Services until the balance is resolved
- Referral of the outstanding balance to a collections agency or legal counsel at Forge's discretion
Forge reserves the right to withhold future deliveries or order processing for any Client with an outstanding unpaid balance.
15. Site and Driveway Access
Forge's Delivery Partners will make reasonable efforts to access designated delivery locations safely. However, Forge Construction Inc. assumes no responsibility for any damage to driveways, private roads, landscaping, curbs, or any other property that may occur during the course of delivery. By designating a delivery location, the Client accepts full responsibility for ensuring that the access route is suitable for large delivery vehicles.
If a Delivery Partner determines that access to a designated location poses a risk of damage or safety concern, they may refuse to proceed and will notify the Client to arrange an alternate drop-off point. Additional delivery fees may apply in such circumstances.
16. Forge+ Membership
Forge+ is a premium membership program offered by Forge Construction Inc. that provides members with enhanced service benefits. Full details of Forge+ features, pricing, and enrollment are available on our website at www.forgecondepot.com.
Key terms governing Forge+ membership include:
- Forge+ membership is available to registered Clients in good standing with an active account
- Members may access early delivery windows beginning at 6:00 AM and receive preferential return terms under Return Schedule A
- Membership fees are billed as set out on the Forge website and are subject to change with reasonable notice
- Clients wishing to cancel their Forge+ membership must provide a minimum of thirty (30) days written notice prior to the next billing date, submitted through the App or by contacting customer support
- Cancellation of Forge+ membership mid-term does not entitle the Client to a pro-rated refund of membership fees already paid
- A lapse or cancellation of Forge+ membership will result in the Client reverting to standard service terms, including Return Schedule B for any subsequent returns
Forge reserves the right to modify, suspend, or discontinue the Forge+ program at any time with reasonable notice to affected members.
17. Complaints and Dispute Resolution
If you are dissatisfied with any aspect of the Services, please contact our customer support team through the App, Platform, or by calling our number: (647) 471-3992. Forge is committed to resolving disputes in a professional and cooperative manner. We aim to provide a resolution within 14 business days of a complaint being formally submitted. Where a complaint cannot be resolved through direct communication, Forge will pursue all reasonable means of resolution.
18. Intellectual Property
All content, branding, software, business processes, and technology associated with the Services — including but not limited to the Forge name, logo, and Platform — are the exclusive property of Forge Construction Inc. and are protected under applicable intellectual property, copyright, and trademark law. Nothing in these Terms grants you any right to use Forge's intellectual property beyond what is expressly permitted herein or authorized in writing by Forge.
19. Service Availability and Modifications
Forge reserves the right to modify, suspend, or discontinue the Services (or any component thereof) at any time without notice. Forge will not be liable for any unavailability of the Services, whether partial or complete, temporary or permanent. Access to certain features or sections of the Platform or App may be restricted at Forge's discretion.
20. Third-Party Links
The Platform and App may include links to third-party websites or services. Forge does not control and is not responsible for any content, practices, or terms of those third-party services. Your use of any linked site is governed by that site's own terms and conditions, which you are responsible for reviewing.
21. Account Termination
Forge may terminate or suspend your access to the Services at any time, without prior notice, for reasons including but not limited to:
- Breach of these Terms, including non-payment of outstanding amounts
- A request from law enforcement or a regulatory authority
- A request submitted by you
- Discontinuation or significant modification of the Services
- Unexpected technical, legal, or security concerns
- Involvement, direct or indirect, in fraudulent or illegal activity
Termination may be enacted in addition to any other remedies available to Forge. Forge will not be liable to you or any third party for the termination of your account or the removal of any content associated with it.
22. Indemnification
You agree to indemnify, defend, and hold harmless Forge Construction Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, fines, or legal fees (including reasonable attorney's fees) arising out of or related to:
- Bodily injury or property damage caused by your actions, errors, or omissions
- Your violation of any applicable law or regulation, including privacy laws
- Your breach of any material term or warranty under these Terms
23. App Store Terms
If you access the Forge App through a third-party application store (such as Apple's App Store or Google Play), the following additional terms apply:
- These Terms are entered into between you and Forge Construction Inc. solely. The application store operator ("Store Operator") is not a party to this agreement.
- The Store Operator has no obligation to provide maintenance or support for the App. All warranty and support obligations rest with Forge.
- In the event the App fails to conform to any applicable warranty, you may notify the Store Operator. To the maximum extent permitted by law, the Store Operator's liability is limited to refunding the purchase price (if any) of the App.
- Forge, not the Store Operator, is responsible for addressing any product liability, regulatory, consumer protection, or intellectual property claims related to the App.
- Where the Store Operator's terms are more restrictive than these Terms, the Store Operator's terms shall control with respect to the App only.
24. Feedback
Any suggestions, ideas, or feedback you provide regarding the Services ("Feedback") may be used by Forge for any purpose without compensation or obligation to you. By submitting Feedback, you confirm that it does not contain confidential or proprietary information of any third party, and you grant Forge an unrestricted license to use and commercialize it in any current or future product or service.
25. General Provisions
These Terms, together with Forge's Privacy Policy, constitute the complete agreement between you and Forge Construction Inc. with respect to use of the Services.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver: Forge's failure to enforce any provision does not constitute a waiver of its right to do so in the future. Any waiver must be made in writing.
- Assignment: You may not assign your rights under these Terms without Forge's prior written consent. Forge may assign these Terms freely.
- Governing Law: These Terms are governed by the laws of the Province of Ontario, without regard to conflicts of law principles. Both parties submit to the exclusive jurisdiction of the courts of Ontario.
- Amendments: Forge reserves the right to amend these Terms at any time without notice. Continued use of the Services constitutes acceptance of the updated Terms.
